Alpha Childcare is a well-established and growing childcare provider, operating several nurseries across Greenwich, Hackney, and Eltham, in addition to extensive breakfast and after-school clubs within numerous public and private schools in the Royal Borough of Greenwich. As their operations expanded, the company was structured with individual trading entities. While effective for day-to-day operations, this structure posed a significant potential tax liability should any of these valuable entities be sold in the future. The challenge for Alpha Childcare was to strategically restructure their group to minimise future Corporation Tax on potential disposals, thereby maximising shareholder value and ensuring tax efficiency as they continued to grow and potentially divest. They needed a robust solution to enable the benefits of Substantial Shareholding Exemption (SSE).

We began by thoroughly assessing Alpha Childcare’s existing structure, future growth plans, and potential exit strategies for individual entities. This allowed us to confirm the suitability of an SSE-driven restructuring and outline a clear, step-by-step plan.

The core of the solution involved the formation of a new Parent Company. This entity was strategically positioned at the top of the new group structure.

Each existing nursery and after-school club trading entity was then positioned as a subsidiary under this new Parent Company. This involved careful consideration of share transfers, asset movements, and legal documentation to ensure all entities were correctly subsumed into the new group structure.

Our experts meticulously managed the entire process to ensure the restructuring was carried out in the most tax-efficient manner possible, avoiding any immediate adverse tax consequences during the reorganisation itself. This included advising on specific statutory reliefs and clearances where necessary.

The primary objective of this restructuring was to position Alpha Childcare to benefit from SSE. We ensured that, going forward, if the Parent Company sells shares in a qualifying trading subsidiary (and holds at least 10% of the shares for a continuous 12-month period within the previous 6 years, among other conditions), the gain on that sale would be exempt from Corporation Tax. This significantly enhances the net proceeds available to the shareholders.
